Startups and Early Stage Financing
How can we help you?
As lawyers who have focused for many years on startups, we understand better than most the importance of properly documenting your startup and thinking through the issues that are going to be important for your startup’s operation and future. All too often, these issues are left undocumented at the startup phase–causing potential problems later. Starting with the wrong form of entity can also lead to tax inefficiencies that cannot be easily remedied at a later date.
We also understand that the startup phase is typically when capital for business expenses is least available and expenses need to be known. That is why we have created a lean business model where our hourly billable rates are under market. We also have created a startup kit which we sell at a fixed rate.
In addition, a large component of our practice involves preparing companies for, and guiding them through, successful capital raising transactions. We handle even the most complex offerings efficiently and with the required experience and sophistication. We represent emerging growth companies in all stages of corporate financing, including:
- Venture capital and other private placement financings
- Convertible Debt and other bridge financing
- Mezzanine transactions
- Angel and “friends and family” seed rounds
- Senior and subordinated debt facilities
Our lawyers have actually been on “all sides of the table” in these transactions as attorneys for investors and issuers, founders of venture-backed companies and inside and outside roles within venture funds. We address both legal and “business” issues that are important to our clients that are raising capital. Our extensive work for venture capital firms, angel investment groups and private equity firms gives us insight into the perspectives and expectations of these investors, as well as real-time market terms and trends in capital markets.
