Outside General Counsel

We often serve in a role similar to outside general counsel to our small and large business clients. For clients with their own internal legal departments, we may serve as “overflow” counsel or may supplement those internal teams in our areas of experience.  For clients without internal legal resources, we often provide full contract preparation and review. In many cases, we develop template contracts for routine contracting matters or review and revise existing templates.   As to matters of general contracts with third parties, we commonly draft manufacturing, distribution, licensing, strategic alliance and other agreements. On the employment side, we routinely handle employment related agreements for executives and general employees, incentive equity plans, proprietary information and confidentiality agreement and separation and termination contracts. We have an emphasis on the manufacturing, technology, energy and service industries.

Most of our lawyers have served as inside general counsel to public and private companies and all of our lawyers have a deep understanding of the types of agreements necessary to preserve appropriate contractual rights.
