Reed Clary
Reed focuses on providing corporate legal representation to start-up and emerging-growth companies from formation through acquisition or IPO. Reed has extensive experience in structuring, negotiating, and closing venture capital and private equity financing rounds, angel and seed investments, technology development transactions (including domestic and cross-border licensing, joint development, distribution, and other technology transfer matters), international and domestic joint venture and strategic alliance relationships, M&A transactions, and convertible debenture and other debt instrument offerings.

Profile
Reed is well versed in representing clients in a variety of sectors in complex commercial transactions, such as offtake agreements, domestic and cross-border manufacturing agreements, product development agreements, R&D agreements, O&M agreements, supply agreements, and purchase agreements.
Previously, Reed served as General Counsel and senior executive to a publicly-traded hybrid venture capital group which founded, incubated, and developed its own technology companies in the fields of cleantech, biotech, and medtech. Several of these companies were developed to the point of successfully completing IPOs.
He has also served as both inside and outside General Counsel, and as a senior executive, with a number of technology start-up and emerging growth companies. He remains active in pursuing several separate entrepreneurial projects. Earlier in his career, Reed practiced as a corporate attorney with an AmLaw 100 firm. He is also a licensed CPA.
